Bryan L. Ngo is an attorney with a practice focused primarily on finance, real estate, corporate, bankruptcy, immigration and tax law. Mr. Ngo earned his Bachelor’s Degree in economics from UC Berkeley (1993) and his Juris Doctor (JD) from the UCLA School of Law (1997). He is admitted to practice law in the State of California, and he is able to practice before United States District Court (Central District, Southern District and Northern District), all state courts of California including the Supreme Court of State of California and the United States Tax Court.
As an attorney and formerly associated with the large international law firms of Morgan Lewis & Bockius LLP and Brobeck Phleger & Harrison LLP (now defunct), Mr. Ngo has represented various institutional banks (such as Citibank, Wells Fargo, Foothill Capital and Banc One) and borrowers in various asset-based and real estate related financing transactions. Mr. Ngo’s complex real estate financing work has included representing clients on matters relating to revolving loans, mezzanine financings, construction financing and permanent loans intended for the commercial mortgaged-backed securities market.
More recently with the financial turmoil of 2008 and 2009, Mr. Ngo has been serving as bankruptcy counsel to a number of clients throughout various California communities (including but not limited to Orange County and San Diego County) and in regards to loan work-outs and modifications. Additionally, Mr. Ngo has represented a number of high net-worth individuals in trade financing matters, commodities transactions, as well as various real estate investors and developers in many aspects of real estate development, including acquisitions, dispositions, leasing, formation of joint ventures to develop real property, financing and construction contracts.
He advises various early stage companies on corporate governance and formation issues. He also counsels various clients on sophisticated tax planning and corporate clients with regards to financial restructuring and immigration matters.
